Flipkart, Eight Roads Offload Shadowfax Shares Worth ₹1,654 Cr In Bulk Deal

Walmart-owned Flipkart has sold shares worth nearly ₹690 Cr in listed logistics company Shadowfax via a bulk deal, joining existing investor Eight Roads Ventures in monetising its investment.

According to NSE data, Flipkart sold 3.37 Cr shares of Shadowfax at an average price of ₹204.45 apiece, taking the transaction value to about ₹690 Cr.

On the other hand, Fidelity-backed Eight Roads also sold 4.7 Cr shares across two bulk deals at average prices of ₹204.62 and ₹204.88 per share. The two transactions were worth about ₹964.4 Cr.

Cumulatively, the investors laid off about ₹1,654.4 Cr in Shadowfax through the bulk deals.

The exchange data does not disclose the identities of the buyers.

This is the second instance when Flipkart lightened its Shadowfax holding this year. The ecommerce major, which has been an early backer of the listed company, offloaded shares worth ₹400 Cr in its initial public offering (IPO) earlier. 

The latest transaction marks another partial exit by the ecommerce major. Since November last year, it has sold shares in BlackBuck, Flying Machine and Aditya Birla Lifestyle Brands. 

The stake sale follows a strong FY26 for Shadowfax. The company reported a 69.1% increase in annual revenue, turned profitable with a net profit of ₹112 Cr, and continued to expand its presence in India’s third-party logistics market. 

During the March quarter alone, Shadowfax’s revenue rose 73.6% YoY to ₹1,237 Cr, while net profit stood at ₹55.8 Cr, compared to a loss of ₹9.9 Cr a year earlier.

Founded in 2015, Shadowfax operates a logistics network serving ecommerce, quick commerce and direct-to-consumer brands. The company was listed on the stock exchanges earlier this year.

The logistics company has been expanding beyond ecommerce deliveries into quick commerce, same-day shipping, premium freight and fulfillment infrastructure. 

It currently operates across more than 15,600 pin codes, supported by 2.6 lakh delivery partners, and plans to increase its network of dark stores from 15 to 100 during FY27 as it looks to strengthen its quick commerce business.
