Brewdog's new owners have revealed the 38 UK bars that will close for good after the Scottish craft brewer was snapped up in a £33m rescue deal. Tilray's takeover of BrewDog comes at a moment of major upheaval for the craftbeer company, and the deal reshapes what parts of the business will survive.

The cannabis and beverage group has agreed to buy BrewDog's global brand, its intellectual property, the main UK brewing site, and 11 pubs across the UK and Ireland in a transaction worth £33 million. Administrators overseeing BrewDog's collapse said that, because only a portion of the estate was included in the sale, most BrewDog bars will shut down. Thirtyeight venues will close with immediate effect, leaving 484 employees facing redundancy, while the company's 18 franchise bars in the UK and abroad will continue trading under their existing operators.

Under the agreement, Tilray will assume control of key BrewDog facilities, including the Ellon brewery in Aberdeenshire and The Hop Hub distribution centre in Motherwell.

The acquisition also secures 733 jobs, with those employees transferring to Tilray as part of the business continuity plan.

BrewDog had temporarily closed its pubs on Monday while finalising the takeover, a move that underscored the uncertainty surrounding the brand's future as it sought a buyer capable of keeping at least part of the operation intact.

In February, BrewDog brought in consultants from AlixPartners to conduct a strategic review and explore a possible sale, but after weeks of negotiations, the situation deteriorated to the point that insolvency specialists from the same firm were formally appointed as administrators.

Clare Kennedy, a partner and managing director at AlixPartners said: "As one would expect over the past two weeks, we have received significant interest in the BrewDog business from prospective buyers across both the trade and investment communities.

"In Tilray, we have secured a purchaser with a passion for craft brewing who will be an excellent custodian and sponsor of the business in the months and years ahead."

Tilray is separately negotiating deals to buy certain BrewDog assets in the US and Australia.

Irwin D Simon, chairman and chief executive of Tilray Brands, said: "BrewDog is one of the most iconic, mission-driven craft beer brands in the UK.

"It helped redefine modern craft beer through bold innovation, fearless creativity and an unwavering commitment to great beer.

"As we begin a new chapter for this great brand, our priority is to refocus BrewDog on the craft beer excellence that made it beloved in the first place and strategically invest to return the operations to profitable growth.

"BrewDog's future is bright, and we are committed to ensuring the brand continues to lead and inspire the global craft beer movement."
